What Every Freelance Contract Must Include

The short answer

Every freelance contract needs: a scope of work with named deliverables, the price and payment schedule including an advance, revision limits, a timeline with client-dependency clauses, ownership transferring only on final payment, and a kill fee for cancelled projects. In India, a signed PDF exchanged over email is generally treated as a valid agreement; plain language beats legalese. For high-value or foreign contracts, have a CA or lawyer review it before signing.

Why do freelancers get burned without one?

Almost every freelance horror story — unpaid invoices, endless revisions, projects that mutate mid-way — traces back to something that was never written down. A contract is not about distrust; it is a shared memory of what both sides agreed. It does not need to be intimidating. One or two pages of plain language that both parties sign (even over email) prevents most disputes before they start.

The clauses that actually matter

  • Scope: numbered deliverables, not adjectives — '5-page website' beats 'a modern website'
  • Payment: total price, advance percentage, milestone schedule, and due dates
  • Revisions: how many rounds are included and what a 'round' means
  • Timeline: your deadlines, plus what happens when the client delays feedback or content
  • Ownership: work belongs to the client only after the final payment clears
  • Kill fee: what you keep if the project is cancelled partway

The client-dependency clause is the most underrated line in the list. Most late projects are late because content, logins, or approvals arrived weeks behind schedule — your contract should say your dates shift when theirs do.
